Legal Associate

Clinikally, a leading digital health platform, is seeking our first Legal Counsel to join our team and collaborate closely with our founder, product, and business teams. The ideal candidate will have a minimum of 3 years of experience in corporate law, with a strong focus on healthcare and technology.

This role will involve providing comprehensive legal advice and support to various business units, including product development, partnerships, and regulatory compliance.

Key Responsibilities:

Contract Review and Drafting:

• Review, draft, and negotiate a wide range of commercial contracts, including vendor agreements, service agreements, NDAs, and joint venture agreements.
• Ensure compliance with applicable laws and regulations, including data privacy, HIPAA, and cybersecurity laws.

Corporate Governance:

• Advise on corporate governance matters, including board resolutions, shareholder agreements, and regulatory filings.
• Assist with corporate restructuring, mergers, and acquisitions.

Regulatory Compliance:

• Stay updated on evolving healthcare and technology regulations, including HIPAA, FDA, and state-specific regulations.
• Advise on compliance with regulatory requirements and develop strategies to mitigate legal risks.
• Assist in obtaining necessary licenses and permits for product development and commercialization.

Intellectual Property:

• Advise on intellectual property matters, including patent, trademark, and copyright protection.
• Assist in filing and prosecuting patent and trademark applications.

Dispute Resolution:

• Represent the company in legal proceedings, including arbitration and litigation.
• Negotiate settlements and resolve disputes effectively.

Due Diligence:

• Conduct legal due diligence on potential acquisitions, investments, and partnerships.

Legal Research:

• Conduct in-depth legal research on complex legal issues.

Qualifications and Skills:

• Bachelor's degree in law from a reputed institution
• Experience: Minimum of 3 years of experience in a corporate law firm or in-house legal department, preferably with a focus on healthcare and technology.
• Knowledge: Strong understanding of corporate law, commercial contracts, and healthcare and technology regulations.
• Excellent research, analytical, organizational and communication skills
• Ability to work independently as well as collaborate with a team
